Mergers and Acquisitions Summit for Design and Construction

By Consulting Specifying Engineer Staff October 25, 2004

Following up on a highly successful 2003 conference, Natick-Mass.-based ZweigWhite will present the second annual AEC Mergers and Acquisitions Summit on December 1-2, 2004, at the Biltmore Hotel in Coral Gables, Fla.

The event is intended to give design and construction firm leaders an overview of current industry trends, and explores the dynamics of transactions in the current economy. Attendees participate in an active forum for discussing the melding of specific goals of buyers and sellers, exploring financing options, hearing about viable exit strategies for firm owners, and learning proven strategies to make these transactions a success.

Given the increasing trend toward consolidation, increased firm size and growth, mergers and acquisitions have become a way of life in the A/E community. The 2004 summit offers a networking opportunity for attendees and a platform for a roster of speakers, including consultants and practitioners who share their experiences of successful—and not so successful—transactions. Conference sessions at this year’s event will include a mock negotiation session, a panel discussion of recent buyers and sellers, and the following topics:

  • The plain truth about mergers and acquisitions

  • An overview of M&A activity in the A/E industry

  • The lowdown on business values in the A/E industry

  • Personal goodwill–a deal structuring tool you cannot afford to ignore

  • Due diligence–making sure you’re buying what you think you’re buying

  • General tax issues

  • Guide to selling

  • Recovering a disaster

  • Employment agreements

  • Reps and warranties

  • Innovative financing approaches to M&A
