Weekly merger, acquisition, deal update: July 6

This week Morrissey Goodale tracked two domestic deals and five international deals. This most recent activity brings the total year-to-date deal count in the United States to 83, down 6% from the 88 domestic deals tracked through the same period in 2011. Including the U.S., the total global deal count is now 159, down 10% from the 177 global deals tracked through the same period last year.

This week Morrissey Goodale tracked six domestic and five international deals.  This most recent activity brings the total year-to-date deal count in the United States to 89, just under the 90 domestic deals tracked through the same period in 2011.  Including the U.S., the total global deal count is now 170, down 8% from the 186 global deals tracked through the same period last year.

7/1/2012

International infrastructure services consultancy Cardno Limited (Brisbane, Australia) acquired 150-person environmental services and compliance management firm EM-Assist (Folsom, CA).  Cardno will pay up to $14.25 million for EM-Assist (with 10-percent subject to the attainment of performance targets over the next 12 months) and on a forward-looking basis the firm is expected to contribute approximately $15 million in revenue and $2.8 million in EBITDA to Cardno in the year 2013.  EM-Assist specializes in environmental management and compliance services, hazardous materials, hazardous waste and environmental restoration and features clients that include the U.S. Air Force, U.S. Marine Corps and the U.S. Army Corps of Engineers.  Link to Details.  Additionally, Cardno also announced the acquisition of 180-person mining, energy and environmental consulting firm Marshall Miller & Associates (MM&A) (Bluefield, VA).  Cardno will pay up to $31 million for MM&A (with 10-percent subject to the attainment of performance targets over the next 12 months) and on a forward-looking basis the firm is expected to contribute approximately $33 million in revenue and $5.5 million in EBITDA to Cardno in the year 2013.  MM&A brings to Cardno expertise in mining engineering, mine service evaluation, oil and gas exploration, feasibility studies and due diligence services for mining and resource projects and features clients that include the U.S. Department of Energy (USDOE) and numerous mining companies.  Link to details

Leading engineering and architecture firm HDR (Omaha, NE) acquired InfraConsult (Phoenix, AZ), a 25-person infrastructure management and advisory firm featuring five offices in Arizona, California, New Mexico and Hawaii and expertise in the development and financing of sustainable infrastructure projects and solutions, including a variety of transportation and transit initiatives.  Link to Details. Additionally, HDR also announced the acquisition of DKS Consulting (Spring Hill, Queensland, Australia), a consulting engineering firm providing civil engineering, project management and specialist consulting services in the delivery of road infrastructure and land development to both public and private clients.  Link to details

Global interior design, architecture and engineering firm NELSON (Philadelphia, PA) reached an agreement to merge its Chicago/Midwest region operations with architectural, planning and interior design firm Torchia Associates (Chicago, IL).  The merger produces a combined local presence of over 60 team members.  Link to details

Global professional services firm PwC / PricewaterhouseCoopers (New York, NY) acquired Viridis(Boston, MA), a 10-person environmental consulting firm that focuses on sustainable business practices and environmental strategies for businesses in the technology, industrial and retail and consumer products sectors that are looking to take advantage of environmentally responsible business practices.  Link to details

Small and middle market private equity firm Corinthian Capital (New York, NY) acquired Hamilton Group (Houston, TX), an engineering, consulting and project management firm serving the international oil and gas industry.  Hamilton services leading multinational and independent customers throughout all phases of the exploration and production process including drilling, completion and workover, reservoir evaluation and description, and drilling management.  Link to details 

 

6/29/2012

International engineering and project management company AMEC (London, UK) completed the acquisition of international services company Serco Group's (Hampshire, United Kingdom) 600-person nuclear Technical Services (TS) business for a cash consideration of $214 million.  Serco's TS business provides consulting and project solutions for customers that include the Ministry of Defense, EDF Energy, Magnox and the Nuclear Decommissioning Authority and featured $109 million and $20 million in 2011 revenue and EBITDA, respectively.  Link to details

International industrial, power, facilities and construction services provider Bilfinger-Berger(Mannheim, Germany) acquired Envi Con (Nuremberg, Germany), a 230-person engineering company specializing in the design and management of major coal and gas-fired power plant projects and producing annual revenue of approximately $44 million.  Engineers at Envi Con design entire power plants or take on engineering for specific sections such as steam generators, piping systems or electrical engineering.  Link to details

Engineering, construction services, planning and design firm Dessau (Laval, Quebec, Canada) acquired SyZ Consultores Asociados (Lima, Peru), a 200-person energy engineering firm specializing in the design of hydroelectric and thermal generating stations and power transmission and distribution lines.  Link to details

400-person engineering design, detailing and 3D Building Information Modeling (BIM) firm PDC Consulting (Perth, Australia) acquired 40-person engineering, sciences, consulting and project delivery firm Emerson Stewart Consulting (Perth, Australia).  Emerson Stewart, previously owned by remote area infrastructure and mining camp builder OTOC (Applecross, Australia), provides environmental, engineering, project delivery and specialist consulting services to bluechip clients across the resources, infrastructure and energy sectors.  Link to details

In an interesting note for the industry (though not considered a deal for the purposes of this update) sustainable building systems design, energy analysis and MEP engineering firm Integral Group(Oakland, CA) announced a partnership with sustainability and green design visionary Jason McLennan, CEO of the International Living Future Institute.  Through the partnership that allows McLennan to remain CEO of the International Living Future Institute, McLennan will help Integral Group work with leading architects around the globe and help the firm in its continued implementation of progressive and leading edge design.  Link to details
