Weekly merger, acquisition, deal update: December 21

This week Morrissey Goodale tracked seven domestic deals and three international transactions. This brings the total year-to-date deal count in the United States to 178, up 2% over the 174 domestic deals tracked through the same period in 2011. Including the U.S., the total global deal count is now 311, down 6% from the 331 global deals tracked through the same period last year.

In its seventh transaction of the year, leading North American design firm Stantec (Edmonton, Alberta, Canada) acquired the assets of Landmark Survey and Mapping (LSM) (Washington, PA), a 24-person survey and mapping firm specializing in oil and gas pipelines and the power market and featuring a project portfolio extending across the U.S., including work in Texas, Ohio, New York, Pennsylvania and West Virginia. Link to details

International infrastructure and environmental services consultancy Cardno Limited (Brisbane, Australia) announced that it has agreed to acquire 400-person Caminosca (Quido, Ecuador), one of the largest engineering consulting firms in Ecuador, providing specialist engineering consulting services in the hydropower, mining, oil and gas, roads, water supply and sewerage, urban development, airports and stormwater sectors. The acquisition is subject to regulatory approvals in Ecuador and is expected to be finalized in January, 2013. Link to details

Global renewable energy and risk management experts DNV (Oslo, Norway) signed an agreement to merge with GL Group (Hamburg, Germany), a global classification, verification and engineering consulting services firm to the maritime, renewables and oil and gas industries. The new entity, DNV GL Group, will be one of the world's leading ship classification societies and risk experts in the oil and gas, renewable energy and power sectors. Link to details

Engineering and design consultancy Ramboll Group (Copenhagen, Denmark) acquired IMS Ingenieurgesellschaft (IMS) (Hamburg, Germany), a 57-person offshore wind consultancy providing services that include the detailed design of offshore wind farms, wind energy assessments, and the decommissioning of offshore wind farms, in addition to specialized hydraulic, civil and environmental engineering services. Link to details

In a noteworthy announcement (though not considered a transaction for the purposes of this update), architecture, engineering and construction services firm Michael Baker Corporation (Moon Township, PA) announced that it received a letter from private equity firm DC Capital Partners (Alexandria, VA) proposing that its affiliate engineering, professional services and specialized construction company KS International (McLean, VA) acquire Baker at $24.25 per share in cash and stating that it is prepared to negotiate and execute definitive agreements immediately. In the letter, DC Capital also states that it is in discussions with investment banks and other financial institutions and expects to have fully executed, underwritten financing commitments in the near future. Baker's Board of Directors will review the proposal and respond in due course. Link to details
