Weekly merger, acquisition, deal update: June 29

This week Morrissey Goodale tracked two domestic deals and five international deals. This most recent activity brings the total year-to-date deal count in the United States to 83, down 6% from the 88 domestic deals tracked through the same period in 2011. Including the U.S., the total global deal count is now 159, down 10% from the 177 global deals tracked through the same period last year.

In its third announced transaction of the year, leading North American design firm Stantec (Edmonton, Alberta, Canada) signed a letter of intent to acquire Cimarron Engineering(Calgary, Alberta, Canada), a 290-person engineering consultancy specializing in the development, design, installation, and integrity maintenance of oil and gas pipeline systems and station facilities.  Link to details

In its sixth announced transaction of the year, leading Canadian engineering services firm Genivar (Montreal, Quebec, Canada) acquired 8-person full-service architecture and interior design firm North 46 Architecture (Charlottetown, Prince Edward Island, Canada).  As part of the transaction, North 46 Architecture sold its shares to Genivar's current architecture partner, PBK Architects, and will continue to operate under the name North 46 Architecture.  Link to details

Engineering, architecture, environmental and construction services firm Jacobs Engineering Group(Pasadena, CA) announced its intent to acquire Team Maroc (Rabat, Morocco), a 171-person full-service engineering and management consultancy with services that include engineering design, studies, work monitoring and supervision related to road infrastructure, highways, water supply and a variety of building types.  Under the terms of the agreement, Jacobs will acquire 100-percent of the shares of Team Maroc through Jacobs Engineering SA (JESA)- a joint venture equally owned by Jacobs and phosphate products manufacturer OCP.  Link to details

Multi-discipline engineering firm Froehling and Robertson (F&R) (Richmond, VA) acquired engineering firm Penniman & Browne (P&B) (Baltimore, MD). With the acquisition, F&R grows to over 400 employees and expands its effective geographic coverage area from Southern Pennsylvania to Columbia, South Carolina.  Link to details

150-person engineering, planning, environmental and construction services firm WSB & Associates (WSB) (Minneapolis, MN) merged with Brauer & Associates (Hopkins, MN), a landscape architecture and planning firm with specific expertise in park systems development and sitework, natural environment and open spaces, athletic facilities, roadway corridor landscape and aesthetics, and urban design.  Link to details

Project management and engineering consultancy Royal Haskoning (Nijmegen, Netherlands) signed an agreement to take a majority share in 50-person ELC Group (Istanbul, Turkey), a geotechnical and environmental consultancy to the oil and gas, ports, energy, finance, real estate, healthcare and construction sectors.  Link to details

Leading engineering solutions group The Boulting Group (Warrington, United Kingdom) acquired out of administration Cross Services Engineering (St Helens, United Kingdom), a 120-person multi-discipline company providing industrial and building services engineering and installation solutions. Link to details

 

5/14/2012

In a noteworthy initiative (though not considered a deal for the purposes of this update), 1,500-person construction and project management company Kompact (St. Petersburg, Russia) signed an agreement whereby it will acquire all remaining shares in ZAO Ramboll Russia (St. Petersburg, Russia), a 200-person consulting engineering services consultancy to the buildings, infrastructure, telecommunications, energy and environmental sectors.  As a result of the transaction, Kompact will become the only shareholder of Ramboll Russia- originally formed in 1997 as a joint venture between Kompact and the Ramboll Group.  Link to details

In an interesting note (though not considered a deal for the purposes of this update), Will Bruder + Partners (Phoenix, AZ) will separate into two new companies- Will Bruder Architects andWorksbureau.  Will Bruder will continue on as head of Will Bruder Architects; while existing Bruder partners Rob Gaspard, Richard Jensen and Ben Nesbeitt will head up Worksbureau.  Company officials described the split amicable.  Link to details
