Weekly merger, acquisition, deal update: June 1

This week, Morrissey Goodale tracked seven domestic deals and seven international deals, including (interestingly enough) a second transaction in three weeks involving a Chinese buyer. This most recent activity brings the total year-to-date deal count in the United States to 67, down 14% from the 78 domestic deals tracked through the same period in 2011. Beyond the U.S., the total global deal count is now 128, down 17% from the 154 global deals tracked through the same period last year.

Full service consulting engineering firm Hatch Mott MacDonald(Millburn, NJ) acquired Engineering Northwest Ltd. (ENL)(Thunder Bay, Ontario, Canada), a consulting engineering firm focused on highway, municipal, water, and wastewater engineering, and project and construction management services.  Hatch Mott MacDonald and ENL have worked closely together for the past 10 years, collaborating on a wide variety of projects for the Ontario Ministry of Transportation, CP Rail, and Cliffs Natural Resources.  Link to details  We note too that late last week Hatch Mott MacDonald also acquired Lambert Engineers (New Orleans, LA), an engineering and architectural firm providing environmental, civil, transportation and construction engineering services throughout the New Orleans area.  Link to details

Energy-related project management, engineering and construction services firm Technip (Paris, France) entered into an agreement to acquire substantially all of the energy and chemicals business of leading global provider of engineering, construction, technology, fabrication, remediation and support services The Shaw Group (Baton Rouge, LA).  Under the agreement, Technip will acquire substantially all of Stone & Webster Process Technologies and the associated oil and gas engineering capabilities for a cash consideration of approximately $300 million, subject to adjustment based on the group's debt and working capital levels at closing.  The acquisition is expected to close in the second half of 2012.  The energy and chemicals business operates from five main locations with a particularly strong presence in the U.S. (i.e., Houston, TX; Cambridge, MA; and Weymouth, MA), the UK and in India.  Link to details

Architecture, planning and design firm WATG (Honolulu, HI), formerly known as Wimberly, Allison, Tong & Goo, acquired boutique interior design firm Spectacular Rooms Design (Los Angeles, CA) and will merge the firm with Wimberly Interiors, WATG's interior design studio.  Link to details

Leading engineering, architecture and environmental consulting firm GHD (Perth, Australia) merged with 220-person multi-discipline consultancy The Sernas Group (Sernas) (Whitby, Ontario, Canada).  Sernas and its associated business units of Ourston Roundabouts (Madison, WI), Geomorphic Solutions, Nexgen Utilities, Transtech, SRM Associates and Sernas Associates together provide services in municipal and water resources engineering, transportation planning, land use planning, geomorphology, and environmental consulting.  Link to details

International engineering and project management company AMEC (London, UK) acquired 260-person consulting, engineering and technical services company Unidel (Brisbane, Australia) for an initial cash consideration of $27 million plus a $14 million earn out subject to the achievement of profit targets. Unidel works in Australia's rapidly expanding energy, resources and infrastructure sectors and features project experience that includes gas field exploration, development, production and transmission, water pipelines and coal seam methane.  Link to details

China's largest diversified state-owned engineering design and services company China Architecture Design and Research Group (Beijing, China) purchased CPG Group (Singapore) from Australian heavy engineering firm Downer Group (North Ryde, Australia) for $147 million.  CPG Group, formerly known as Singapore's Public Works Group, specializes in the design of public buildings and infrastructure, especially roads and bridges.  Link to details

Global multidisciplinary engineering, infrastructure and project management consultancy Meinhardt Group (Singapore) acquired Onur Gulec Proje (OGP Consulting) (Istanbul, Turkey), a structural engineering design consultancy serving Turkish and international architects, contractors and developers. Link to details

Global leader in conformity assessment and certification services Bureau Veritas (Neuilly-sur-Seine, France) acquired all the shares of 1,300-person Tecnicontrol (Bogota, Colombia), a provider of services to the oil and gas, process and mining industries including technical inspections, quality assurance and quality control, non-destructive testing, asset integrity management and commissioning.  Link to details

Global geoscience and geotechnical consultancy Fugro (Leidschendam, The Netherlands) acquired the shares of 30-person GEOTER SAS (Montpellier, France), a specialty geoconsultancy firm with expertise in geology, earthquake hazard and risk assessment, and applied GIS and spatial analysis and that features a strong client base in the nuclear, mining and engineering markets.  Link to details

In a noteworthy initiative (though not considered a deal for the purposes of this update) Hastie Group (Auburn, Australia), a 7,000 person international designer, installer and maintainer of technical services to the building and infrastructure sectors, was placed into administration, as the company will look to sell off certain business interests.  Link to details
