Weekly merger, acquisition, deal update: December 7

This week Morrissey Goodale tracked three domestic deals and two international transactions. This brings the total year-to-date deal count in the United States to 166, right in line with the 167 domestic deals tracked through the same period in 2011. Including the U.S., the total global deal count is now 295, down 7% from the 319 global deals tracked through the same period last year.

Leading North American design firm Stantec (Edmonton, Alberta, Canada) announced plans to acquire 520-person multi-discipline engineering firm Greenhorne & O'Mara (Laurel, MD). The transaction is expected to close by the end of the year and will expand Stantec's presence and services across the U.S. Atlantic coast.  Concurrently, Stantec also announced the acquisition of 21-person architecture and design firm Architecture 2000 (Moncton, New Brunswick, Canada). Architecture 2000 brings bilingual architectural, master/urban planning, interior design, and project management services to Stantec's existing presence in Atlantic Canada. Link to details of both deals.

Leading provider of multi-disciplinary engineering, project delivery and operations services to the resources and mining sectors Sedgman Limited (Milton, QLD, Australia) announced it would acquire 100% of the issued share capital of MDM Engineering Group (MDM) (Johannesburg, South Africa), a 270-person minerals processing, metallurgical engineering and project management company providing services to the metalliferous mining industry internationally, but predominantly in Africa. The transaction is for a total consideration of $109 million, including an estimated MDM surplus cash balance of $25 million at closing, and is expected to close by March, 2013, subject to regulatory and MDM shareholder approval. Link to details

Earlier this year, multi-discipline technical consulting and engineering firm Affiliated Engineers (AEI) (Madison, WI) acquired Ross Infrastructure (RI) (Baltimore, MD), a consulting engineering firm specializing in the analysis, planning, design, and operation of complex infrastructure systems, including the generation and distribution of chilled water, steam, and electrical systems, including peak shaving and cogeneration. Link to details

Leading European and UK climate, energy, water, waste, and sustainable transportation consulting practice AEA Technology Group (Didcot, United Kingdom) sold its U.S. based multidisciplinary consulting subsidiary Eastern Research Group (ERG) (Lexington, MA) to NEK Acquisition, a new company formed by one the business' former founders. Link to details
