Weekly merger, acquisition, deal update: December 14

This week Morrissey Goodale tracked five domestic deals and one international transaction. This brings the total year-to-date deal count in the United States to 171, up slightly over the 169 domestic deals tracked through the same period in 2011. Including the U.S., the total global deal count is now 301, down 7% from the 323 global deals tracked through the same period last year.

M&A Transactions

Full service architecture, engineering and planning firm Bergmann Associates (Rochester, NY) announced the acquisition of Gantt Huberman Architects (Charlotte, NC), a well-respected, twenty-six person architecture and interiors firm. This will be Bergmann's twelfth regional office location and first in the Carolinas, bringing the firm's total employee count to 375. "The Gantt Huberman brand is recognized and respected throughout the Carolinas, and will remain intact. We intend to keep the talents of this dedicated group of professionals and invest to grow the Charlotte location and the Carolinas client base substantially," said Tom Mitchell, CEO of Bergmann Associates. Global multi-disciplinary design firm IBI Group (Toronto, Ontario, Canada) announced that business arrangements have been settled for the acquisition of M-E Companies (Columbus, OH), an 80-person full-service civil engineering firm specializing in transportation infrastructure, water and wastewater systems and land development and featuring a strong reputation and standing with the Ohio Department of Transportation in the design of transportation facilities and safety programs; a broad practice in municipal and county level water and wastewater systems; and land development activity for both public and private sector clients.  Moving forward, M-E will do business as M-E/IBI GroupLink to details

Integrated design, engineering and construction firm Haskell (Jacksonville, FL) acquired H.R. Gray (Columbus, OH), a program management and construction services firm working primarily with municipal clients in the water industry and specializing in projects such as water and wastewater treatment plants, tunnels, roadways, utilities, police and fire stations, libraries, schools, hospitals, ADA public right-of-way programs and construction claims resolution. Link to details

Public sector focused architecture, engineering and design firm Moseley Architects (Richmond, VA) merged with BeeryRio (Springfield, VA), a greater Washington DC Metropolitan area architecture and interior design firm and a national leader in the design of senior housing. Link to details

International infrastructure and environmental services consultancy Cardno Limited (Brisbane, Australia) acquired ChemRisk (San Francisco, CA), a 95-person human health and environmental risk consulting firm. Cardno will pay up to $33 million for ChemRisk (with 11-percent subject to the attainment of performance targets over the next 12 months and an additional 9-percent deferred for 18 months) and on a forward-looking basis the firm is expected to contribute to Cardno approximately $20 million in revenue and $6 million in EBITDA over the next 12 months. Link to details
